Affiliate Program Terms

By signing up to be an affiliate in the Coyotelearner Affiliate Program (the “Program”) you agree to be bound by the following terms and conditions (the “Terms”). Please ensure that you read them carefully before signing up. These Terms are a legal agreement between Sofia Dourva (Coyotelearner) a company registered in Greece under company VAT number EL077821271 and having its registered office at El. Venizelou 101, Elassona, Larissa, 40200, Greece (“Coyotelearner”, “we”, “us”) and You (the “Affiliate”, “you”).

We reserve the right to update and change the Terms from time to time without notice. Any amendments, modifications, enhancements or changes to the Program including the release of new features and resources made available by us from time to time shall be subject to these Terms. Continued use of the Program after any such changes shall constitute your consent to such changes. Any violation of these Terms may result in, among other things, termination or suspension of your rights to be an Affiliate and forfeiture of any outstanding affiliate referral fee payments earned during the violation.

Account Registration & Terms

You must provide your legal full name, a valid email address, and any other information requested in order to complete the sign up process for an Affiliate account (“account”)

Each account is for use exclusively by a legal entity (e.g. a company). We do not permit you to share your user name and password with any other person nor with multiple users on a network. Responsibility for the security of any user names and passwords issued rests with you.

If you provide or otherwise make available access to your account in whole or in part in any form to any person including your employees, (“Invitees”) you undertake to ensure that all Invitees comply with these Terms and acknowledge that you shall remain responsible and liable for the acts or omissions of all Invitees to the same extent as if you had carried out such acts or omissions yourself.

You may not use the Program for any illegal or unauthorised purpose. You must not, in the use of the Program, violate any laws in your jurisdiction (including but not limited to copyright laws).

We review and moderate all affiliate registrations, and we appreciate your accurate and honest information. Please note that the review process may take a few days.

If you’re approved, You’ll be given a unique referral ID that you can use to promote CoyoteLearner via referral links.

You will also get access to a private Affiliate Area for visits and referrals information, creatives, graphs and more.

Affilliates Extra features

An affiliate can buy mass 100% off coupons from Us– to resell from his end, in an excellent price, in order to maximize his/her revenue.

It is clear that the way in which our partner (affiliate) will trade these coupons is subject to this agreement and must follow the terms outlined in this document.

The price that the affiliate will buy this coupons is a matter of negotiation between the affiliate and Coyotelearner.

We remain the right to decline such a feature without explaining the reasons.

Commissions and payouts

You’ll earn commission equal to 30% for the first 50 sales you succeed. A successful sale for you is recorded when the customer comes to our e-shop via your referral link.  For every successful sale from that point and on you will earn a 40% revenue.

The product “Edison Robot 10 pack” does not offer commision at all (0%) to the affiliates.

Accrued referral fees are paid via PayPal roughly the first week of every month and only when your accrued referral fees total 50euros or more and the referral is older than 14 days. You must have a valid PayPal account to receive referral fees, or set your bank account details to the system to wire you your payment.

Invoicing

In order for you to get paid you have to raise the corresponding invoice and send it to us before the payment takes place.

Customer payments refunded or payments charged-back due to credit card fraud do not qualify for referral fees. We may delay crediting of referral fees subject to risk analysis considerations and Anti-Money Laundering procedures.

A summary of sign ups and statement of referral fees is available to the Affiliate by logging into their Affiliate account.

The referral fee structure is subject to change at our discretion.

We reserve the right to disqualify referral fees earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods.

All fees are exclusive of all taxes, charges, levies, assessments and other fees of any kind imposed on your involvement in this Agreement and shall be the responsibility of, and payable by you. If your place of business is the EU and you provide a valid VAT registration number, VAT will be added to your referral fees.

Referral cookie lifetime

When a potential customer clicks on your referral link, a cookie is stored in their browser to track your referral. The cookie is then stored for 30 days to give your referred customers time to decide if they wish to purchase Coyotelearner’s e-courses, or ask us any pre-sale questions they may have.

A referral won’t be awarded if:

  1. The customer uses a different browser to purchase than the one they originally used to visit our site (because the cookie does not exist in that browser)
  2. The customer purchases after 30 days (because the cookie will expire).

Refunded purchases

Referrals older than 14 days and in good standing (i.e. the purchase has not been refunded) will be included with each commission payout. If a purchase is refunded, a commission won’t be paid out for that referral.

We reserve the right to reject affiliate commissions for any reason. Commission rejections may occur for the following reasons:

  1. The sale that the referral was based on was refunded
  2. The method by which the referral was generated was in violation of our promotional policies (see below) or violated the spirit of the Affiliate Agreement.

Affiliate news and updates

By becoming an affiliate you agree to receive emails from Coyotelearner. These emails will be sent to affiliates only, on an ad-hoc basis, and may include important information regarding the Coyotelearner affiliate program. These emails will also provide you with relevant news and updates to help you effectively promote Coyotelearner. As an affiliate you may be privy to embargoed or time-sensitive information in these emails (this information may only be promoted after an embargo is lifted).

Affiliate application rejection

We reserve the right to reject affiliate applications for any reason. We also reserve the right to choose whether we provide an explanation or reasoning for affiliate application rejection. Below are just a few reasons why an application may be rejected (this is not an exhaustive list):

  • Affiliate applications for websites that sell, advertise or engage in pornography, phishing scams, spamming, illegal business practices, or that include any material infringing on National or International Copyright will be rejected.
  • Affiliate applications for websites that we do not believe are aligned with our industry or business may be rejected.
  • Affiliate applicants with websites that re-sell any of our products will be rejected.
  • Websites considered inappropriate by Coyotelearner will be rejected.

Inappropriate websites:

The following types of sites are not permitted to become an affiliate: adult sites, sites that display adult material or banners, sites that promote violence, hatred or bigotry, sites that promote or engage in illegal activity, including (but not limited to), hacking, cracking, nulled, and warez sites. Affiliate applications for inappropriate websites will be rejected, and we reserve the right to choose whether or not to provide a rejection reason.

Questions regarding your application

When you apply to become an affiliate we may email you at the email address you have supplied with some questions regarding your application. This may be because:

  • We didn’t understand something in your application, or,
  • We’d like to learn a bit more about how you will promote Coyotelearner and need a little more detail.

If we reach out to you and we haven’t heard back within 7 days, your application may be rejected. If your initial application is rejected, you are welcome to reapply to become an affiliate and provide us with more detail for reconsideration.

Affiliate Program Policies

Allowed promotional methods

We encourage the use of promotional methods that add value to Coyotelearner and bring us legitimate, loyal customers.

Here are a few examples of exceptional promotional methods to earn more commission:

  • Tell clients, customers or friends about Coyotelearner, and give them your affiliate referral link
  • Write a review or a blog post about affiliate marketing or Coyotelearner and link to our site with your referral link
  • Reach out to a broad audience with your social network accounts. Tweet about us on Twitter with your affiliate referral link, post about us on Facebook with your affiliate link, or communicate to your Linkedin followers about affiliate marketing with your affiliate link. Spam-free promotion is a great way to get more referrals!
  • Provide value to others by answering related questions on other sites with helpful responses, and using your referral link in your replies.

Prohibited promotional methods

The prohibited promotional methods listed below aren’t meant to scare you off – they’re here to protect you, and us, and our customers from any freaky or fraudulent activity, which is something we take pretty seriously. But here they are in writing just in case you’re not totally sure what is and what isn’t allowed.

  • Coyotelearner may not be promoted on coupon sites
    Customers who are searching for a coupon are already in the market for Coyotelearner, so this method adds no value to Coyotelearner.
  • Any type of spam is prohibited
    Links, ads, emails, comments… any type of spam. Please respect the posting rules of any 3rd-party websites you use to promote Coyotelearner. P.S. This is not an exhaustive list of spam methods; if we decide that your activity is spam, it’s spam.
  • Any illegal activity or activity deemed offensive by us is prohibited
    This may result in referrals being rejected and/or your affiliate account being deactivated. See above for allowed and super cool promotional methods!
  • We’re flattered, but please don’t pretend to be professionally associated with Coyotelearner
    Affiliates aren’t employees of Coyotelearner and have no employee rights.
  • Pretending to actually be Coyotelearner is prohibited
    Cloning our site, copying our site, using our copyrighted site assets, and pretending that a site created by you is an official Coyotelearner site is unethical and prohibited (this includes using services that automatically clone websites, or place them into iframes).
  • Again, false promotion to customers that you are endorsed or operated by Coyotelearner is prohibited.

If you’re unsure or concerned that some activity you’re about to proceed with may be considered prohibited, please ask us.

Consequences of prohibited promotional methods

If your promotional methods step outside of these terms, your referrals may be rejected and we may disable your affiliate account. We reserve the right to do this and may or may not notify you in the instance that this occurs. Please use allowed promotional methods, and help us to help you succeed as an affiliate!

Customer Definition

Every customer who buys a service through this program is deemed to be a customer of Coyotelearner and he/she have to abide by our Privacy Policy and Terms and Conditions. Accordingly, all of our rules, policies, and operating procedures concerning pricing, customer orders, customer service, and services sales will apply to those customers. We may change our policies and operating procedures at any time. Coyotelearner is not responsible for any representations made by the Affiliate that contradict our rules, policies or operating procedures.

Pricing & Availability

We will determine the prices to be charged for services sold under this Program in accordance with our own pricing policies. Services prices and availability may vary from time to time. Because price changes may affect services that you have listed on your site, you should not display services prices on your site. We will use commercially reasonable efforts to present accurate information, but we cannot guarantee the availability or price of any particular service.

Copyrighted and Trademarked material

You are solely responsible for ensuring that your reviews, product descriptions and articles (if applicable at your site) obey all applicable copyright, trademark, and other laws. Coyotelearner will not be responsible if you use another party’s copyrighted or trademarked material in violation of the law.

Term of the Agreement and Program

The term of this Agreement will begin upon our acceptance of your Program application and will end when terminated by either party. Either you or we may terminate this Agreement at any time, with or without cause, by giving the other party notice of termination. Notice by e-mail, to your address on our records, is considered sufficient notice to terminate this Agreement. Coyotelearner reserves the right to end the Program at any time. Upon Program termination, Coyotelearner will pay any legitimate outstanding earnings.

Termination

Coyotelearner, in its sole discretion, has the right to suspend or terminate your account and refuse any and all current or future use of the Program, or any other Coyotelearner service, for any reason at any time. Such termination will result in the deactivation or deletion of your Affiliate Account, and the forfeiture and relinquishment of all potential or accrued referral fees in your Account if they were earned through fraudulent, illegal, or overly aggressive, questionable sales or marketing methods. Coyotelearner reserves the right to refuse service to anyone for any reason at any time. Upon the termination of this Agreement for any reason, you will immediately cease use of, and remove from your site, all links to the Coyotelearner website and all our images and other materials provided under the Program.

Relationship of Parties

You and we are independent contractors, and nothing in this Agreement will create any partnership, joint venture, agency, franchise, sales representative, or employment relationship between the parties. You will have no authority to make or accept any offers or representations on our behalf. You will not make any statement, whether on your site or otherwise, that reasonably would contradict anything in this Agreement.

Limitations of Liability

The Company and any of the Company’s officers, directors, employees, shareholders or agents of any of them, exclude all liability and responsibility for any amount or kind of loss or damage that may result to you or a third party (including without limitation, any direct, indirect, punitive or consequential loss or damages, or any loss of income, profits, goodwill, data, contracts, use of money, or loss or damages arising from or connected in any way to business interruption, and whether in tort (including without limitation negligence), contract or otherwise) in connection with this Program.

Notice

All notices given by you to us must be given to Coyotelearner at info@coyotelearner.com. We may give notice to you at the e-mail address you provided to us when registering. Notice will be deemed received and properly served 2-3 working days after an e-mail is sent. In proving the service of any notice, it will be sufficient to prove in the case of an e-mail, that such e-mail was sent to the specified e-mail address of the addressee.

Events outside our control

We will not be liable or responsible for any failure to perform, or delay in performance of, any of our obligations hereunder that is caused by events outside our reasonable control (a “Force Majeure Event”).

A Force Majeure Event includes any act, event, non-happening, omission or accident beyond our reasonable control and includes in particular (without limitation) the following:

(a) strikes, lock-outs or other industrial action;

(b) civil commotion, riot, invasion, terrorist attack or threat of terrorist attack, war (whether declared or not) or threat or preparation for war;

(c) fire, explosion, storm, flood, earthquake, subsidence, epidemic or other natural disaster;

(d) impossibility of the use of public or private telecommunications networks;

(e) the acts, decrees, legislation, regulations or restrictions of any government.

Our performance is deemed to be suspended for the period that the Force Majeure Event continues, and we will have an extension of time for performance for the duration of that period. We will use our reasonable endeavours to bring the Force Majeure Event to a close or to find a solution by which our obligations under these Terms may be performed despite the Force Majeure Event.

Severability

If any of these Terms are determined by any competent authority to be invalid, unlawful or unenforceable to any extent, such term, condition or provision will to that extent be severed from the remaining terms, conditions and provisions which will continue to be valid to the fullest extent permitted by law.

Entire agreement

These Terms and any document expressly referred to in it represents the entire agreement between us in relation to the use of the Program and supersedes any prior agreement, understanding or arrangement between us, whether oral or in writing.

We each acknowledge that, in entering into these Terms, neither of us has relied on any representation, undertaking or promise given by the other or be implied from anything said or written in negotiations between us prior to entering into these Terms except as expressly stated herein.

Neither of us shall have any remedy in respect of any untrue statement made by the other, whether orally or in writing, prior to the date we entered into these Terms (unless such untrue statement was made fraudulently) and the other party’s only remedy shall be for breach of contract as provided in these Terms.

Governing law and jurisdiction

This legal notice shall be governed by and construed in accordance with Greek law. Disputes arising in connection with this legal notice shall be subject to the exclusive jurisdiction of the Greek Courts.
